HueclipI. Acceptance and Eligibility
These Terms of Service (the “Terms”) are an agreement between you and Hueclip Technology Co., Limited (the “Company”, “we”, “us”). They govern your use of Hueclip, our mobile application, and the related websites and services (together, the “Services”). By creating an account or using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
You must be at least thirteen (13) years old, or the minimum age required to consent to the use of online services in your country, whichever is higher. If you are under the age of majority where you live, you confirm that a parent or legal guardian has reviewed these Terms and agrees to them on your behalf.
II. Changes to These Terms
We may update these Terms to reflect changes to the Services or to the law. The “Last Updated” date shows when the current version took effect. If a change is material, we will tell you in the app before it takes effect. If you keep using the Services after the change takes effect, you accept the updated Terms. If you do not accept them, stop using the Services and delete your account.
III. Your Account and Our License to You
1. Your account
A. You can sign in with Apple, with Google, with a phone number, or as a guest. You are responsible for the activity on your account and for keeping your sign-in details secure. Tell us at once if you think someone else has used your account.
B. Give accurate information and do not impersonate any person or organization, or use another person’s account.
2. License to use the app
A. Hueclip is licensed to you, not sold. We grant you a limited, personal, non-exclusive, non-transferable and revocable license to install and use the app on Apple devices that you own or control, for your own non-commercial use, and subject to these Terms and the Apple Media Services Terms.
B. You may not copy, modify, reverse engineer, decompile or create derivative works of the Services, sell, rent, sublicense or commercially exploit them, bypass security or access controls, scrape or extract data with automated tools, or interfere with the Services or other people’s use of them.
C. All rights not expressly granted to you stay with the Company and its licensors.
IV. Content and Copyright
1. What the Services are for
Hueclip is a personal video library and player. It helps you organize, tag, mark and replay videos that you are entitled to watch. It is not a tool for obtaining, saving or sharing content that belongs to someone else without their permission.
2. Content you provide
A. You keep ownership of the videos, titles, notes, Moods, Markers and other material you import or submit (“Your Content”).
B. When you import a video or make it available to others, you give us a worldwide, non-exclusive, royalty-free license to host, store, transcode, reproduce, transmit and display Your Content solely to operate, secure and improve the Services, including playing it back to you and, if you choose to share it, to the people you share it with. This license ends when Your Content is deleted from the Services, except for copies that are kept for a short time in backups or that we must keep by law.
C. You confirm that you own Your Content or have every license, consent and permission needed to import and share it, and that Your Content does not infringe or violate anyone’s copyright, trademark, privacy, publicity or other rights, and does not break the law.
D. Imported videos may be uploaded to our servers, and to cloud storage providers acting for us, so that they can be played back and checked for violations of these Terms.
3. Content from other people
A. Videos shown under Discover or on a curator’s page are provided by other users (“curators”). We do not own that content, and we do not endorse it. Rights in it stay with the curator or the rights holder.
B. The Services do not let you download, save, export or share another person’s video. To play videos smoothly, the app temporarily buffers the part of a video it is playing in its temporary storage. That buffer is deleted when playback ends, is not available to you as a file, and gives you no ownership or license in the video.
C. You must not use the Services, or any other tool, to download, record, copy, convert or redistribute audio, video or other media that you do not own, or are not otherwise permitted to use, including media from third-party services or platforms.
4. Copyright complaints
A. We respect intellectual property rights. If you believe something in Hueclip infringes your copyright, email support@hueclip.com with: your name and contact details; a description of the work; where the material appears in the app (the curator and the clip title); a statement that you have a good-faith belief that the use is not authorized; a statement that your notice is accurate and that you are the rights holder or are authorized to act for them; and your signature.
B. We will review notices promptly, remove or disable access to material that infringes, and may notify the person who submitted it. We will end the accounts of users who repeatedly infringe the rights of others.
V. Acceptable Use and Objectionable Content
There is no place in the Services for objectionable content or abusive users. You agree that you will not import, share, upload, link to or otherwise make available through the Services any content that:
i) is sexually explicit or exploits or endangers minors in any way;
ii) depicts or promotes graphic violence, self-harm, terrorism or criminal activity;
iii) harasses, bullies, threatens, defames or discriminates against any person or group, or is hateful;
iv) invades someone’s privacy, for example by showing a person who has not agreed to be recorded or shared;
v) infringes intellectual property or other rights, or that you have no right to share;
vi) is spam or a scam, is misleading, or contains malware or code that harms devices or services.
You also agree not to use the Services to contact or target other users in a harmful way, to manipulate the Services, or to help anyone else do any of the above.
Report and Block
A. Every curator and every clip shown by other users has a Report option and a Block option. Use Report to tell us about content or a user that breaks these Terms; use Block to stop seeing a curator’s content right away.
B. We review reports within 24 hours. We remove content that breaks these Terms and we remove the accounts of users who provide it. You can also write to support@hueclip.com.
C. We may remove content or restrict, suspend or end any account at any time if we believe these Terms have been broken, with or without notice, and we may report unlawful content to the relevant authorities.
VI. Disclaimers
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted, secure or error-free, or that any content shown by other users is accurate, lawful or suitable for you. You use the Services at your own risk. Nothing in these Terms limits any rights that you have as a consumer under the law of your country and that cannot be excluded.
VII. Limitation of Liability
To the maximum extent permitted by law, the Company and its affiliates, directors, employees and licensors are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use of, or inability to use, the Services. Our total liability for any claim relating to the Services is limited to the greater of the amount you paid us for the Services in the twelve (12) months before the claim and fifty US dollars (USD 50). You are responsible for Your Content and for your use of the Services, and you agree to compensate us for losses caused by your breach of these Terms or by your infringement of anyone’s rights.
VIII. Termination and Account Deletion
A. You can stop using the Services at any time. To delete your account, open the Me tab, tap Settings, then tap Delete Account and confirm. This starts the deletion of your account and of the content you uploaded, as described in the Privacy Policy.
B. We may suspend or end your access if you break these Terms, if the law requires it, or if we stop offering the Services. If we end your account without a breach on your part, we will tell you beforehand where we can.
C. Sections that by their nature should survive termination, including content licenses needed to finish removing material, disclaimers, limits of liability and governing law, will continue to apply.
IX. Apple, Governing Law and Contact
A. These Terms are between you and the Company only, not with Apple Inc. (“Apple”). We, not Apple, are responsible for the app and its content, for maintenance and support, for any warranty claims, and for any claim that the app infringes a third party’s intellectual property. Apple has no obligation to provide maintenance or support for the app.
B. If the app does not meet any warranty that applies to it, you may tell Apple, and Apple will refund the purchase price, if any. Apple has no other warranty obligation for the app.
C. You confirm that you are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a terrorist-supporting country, and that you are not on any US Government list of prohibited or restricted parties.
D. Apple and its subsidiaries are third-party beneficiaries of these Terms. When you accept them, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
E. These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-law rules, and the courts of Hong Kong have non-exclusive jurisdiction, except that mandatory consumer protection rules of your place of residence still apply to you.
F. If any part of these Terms is found unenforceable, the rest stays in force. These Terms and the Privacy Policy are the entire agreement between you and us about the Services. Contact: support@hueclip.com.
